My client is a leading US law firm with a strong reputation in Private Equity, Real Estate, Entertainment and Tax. Their Private Equity M&A team are seeking an Associate to join their dynamic and growing practice.
Role Overview
As a Private Equity M&A Associate, you will play a crucial role in advising private equity sponsors, sovereign wealth funds, and other private capital providers on a wide range of M&A transactions. You will work closely with senior lawyers to provide legal advice on complex matters, including due diligence, negotiation, and documentation.
Responsibilities
- Conduct in-depth legal research and analysis
- Prepare and review legal documents, such as merger agreements, purchase agreements, and shareholder agreements
- Assist in due diligence investigations and risk assessments
- Advise clients on regulatory compliance and corporate governance matters
- Manage and coordinate cross-functional teams to ensure timely and efficient delivery of legal services
Qualifications
- Juris Doctor degree from a reputable law school
- Strong academic record
- Demonstrated experience in a private equity M&A team, preferably at a top-tier law firm
- Excellent analytical and problem-solving skills
- Strong communication and interpersonal skills
- Ability to work independently and as part of a team
Preferred Experience
- Experience working with private equity sponsors, sovereign wealth funds, or similar private capital providers
- Exposure to complex cross-border transactions
- Previous experience advising on M&A transactions in the UK market
